Course description
Corporate governance is one of the important topics in business administration training programs in many countries around the world. In recent years, this topic has attracted particular attention from policymakers, lawmakers, and entrepreneurs following the collapse of a series of large companies and institutions worldwide such as Worldcom, Enron, Lehman Brothers, UBS, and others. Good corporate governance is the foundation for the long-term development of an enterprise, by ensuring effective investment decisions, the disclosure and transparency of information, the protection of investors' interests, and the resolution of conflicts of interest among the company's stakeholders.
In practice, the concept of corporate governance emerged a long time ago, when the joint-stock company form appeared in Western countries in the early 1930s (20th century). Since then, the theories and models of corporate governance have been refined and developed rapidly to meet the demands of practice. Although corporate governance came into being so long ago, this concept remains relatively new to Vietnam. According to a survey of 70 enterprises in Vietnam conducted by the International Finance Corporation (IFC), many Vietnamese enterprises still confuse the concepts of Corporate Governance and Business Administration. Corporate governance is becoming and will continue to become an important topic in Vietnam as the country integrates more deeply into the international economy, as the stock market develops rapidly, and as the reform of enterprises is being urgently carried out.
In this context, equipping managers with knowledge of corporate governance is highly necessary in order to help them understand the importance of corporate governance, grasp the theories, principles, and models of corporate governance, and thereby be able to build an effective corporate governance model for their enterprise.
Course requirements
Regulations on eligibility conditions for the end-of-course examination
The attendance score must be 5 or above (in accordance with the general regulations of the University)
Method of assessing the attendance score: see Appendix 2, Rubric 1.
Regulations on class attendance
Students are responsible for fully attending all class sessions.
In the case of absence due to force majeure reasons, students need to take the initiative to acquire the knowledge through the materials provided by the lecturer and other required reading materials.
Regulations on classroom behavior
The course is conducted on the principle of respect for both the learner and the instructor;
Take complete notes and participate in answering questions;
Read the required materials in advance;
Do not make noise that disturbs others, and do not eat during the lesson;
Laptops, tablets, and mobile phones may only be used for the purpose of taking lecture notes and performing calculations in service of learning; they must absolutely not be used for any other purpose.
Regulations on submitting the major assignment
Learners who fail to submit the group assignment as required will receive a score of 0 (zero).
After the final deadline set by the regulations, each day of late submission will result in a deduction of one point.

Learning outcomes and assessment
The training management system automatically assesses the degree of CLO attainment according to the University's general algorithm. The course's learning outcomes are assessed by students and the University after the end-of-course examination.
